Terms of Service

The terms and conditions governing your use of Syndrix's products and services.

1. Agreement to Terms

By accessing or using any website, platform, software product, or service provided by Syndrix ("we," "our," or "us"), you ("Client," "User," or "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

If you do not agree to these Terms, you must discontinue use of our Services immediately.

2. Description of Services

Syndrix provides reliable, practical, accountable technology solutions for businesses, public institutions, schools, and organizations. Our Services include, but are not limited to:

  • Custom software development for business and government workflows
  • Ready-to-deploy systems for document management, scheduling, billing, and reporting
  • Managed platforms accessible via web and mobile
  • Technology consulting and digital transformation advisory services
  • System maintenance, support, and training

The specific features, functionality, and scope of Services provided to you will be defined in the applicable project agreement, service proposal, or partnership contract.

3. User Accounts and Registration

Certain Services require you to create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security and confidentiality of your login credentials
  • Promptly notify us of any unauthorized access or use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in compliance with applicable Philippine laws. You shall not:

  • Use the Services to store, transmit, or distribute any unlawful, harmful, or fraudulent content
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of our software
  • Use automated tools (bots, scrapers) to access the Services without our express written consent
  • Interfere with or disrupt the integrity or performance of our Services
  • Misrepresent your identity or affiliation with any organization

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and access to Services.

5. Intellectual Property Rights

All intellectual property in our Services — including software, designs, logos, documentation, and content — is owned by Syndrix or our licensors and is protected under Philippine intellectual property law (Republic Act No. 8293).

Our IP: We grant you a limited, non-exclusive, non-transferable license to use our Services for their intended purpose during the term of your agreement. This license does not transfer any ownership rights.

Your Content: You retain ownership of all data, content, and materials you upload to our platforms ("User Content"). By using our Services, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Services to you.

Custom Development: For custom software projects, intellectual property ownership and licensing terms will be specified in the applicable project agreement or contract.

6. Payment Terms

Syndrix operates on a project-based partnership model. When you engage our Services, the following payment terms apply:

  • Project fees are defined in your service agreement or project proposal and are denominated in Philippine Pesos (PHP) unless otherwise stated
  • Payment is structured as either (a) 50% upon project commencement and 50% upon delivery, or (b) milestone-based installments as outlined in your agreement
  • Payments are processed via bank transfer or another mutually agreed payment method — Syndrix does not process credit or debit card payments directly
  • Post-launch maintenance and support may be provided under a separate retainer agreement, which the Client may opt into or decline at their discretion
  • Hosting costs, where applicable, are billed monthly as a separate line item from project fees
  • Late payments may incur interest charges as specified in your agreement
  • We reserve the right to suspend access to Services or deliverables for accounts with outstanding balances

All fees are exclusive of applicable taxes. Clients are responsible for any applicable value-added tax (VAT or percentage tax) as required by Philippine tax regulations.

7. Data Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in compliance with Republic Act No. 10173 (Data Privacy Act of 2012). By using our Services, you consent to the data practices described therein.

8. Service Availability and Disclaimers

We strive to provide reliable and uninterrupted Services, but we do not guarantee that our Services will be available at all times. Services may be temporarily unavailable due to maintenance, updates, or factors beyond our control.

Our Services are provided "as is" and "as available." To the maximum extent permitted by Philippine law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will meet all of your requirements, operate without interruption, or be free of errors or vulnerabilities.

9. Limitation of Liability

To the maximum extent permitted by applicable Philippine law:

  • Syndrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use our Services
  • Our total cumulative liability for any claims arising under these Terms shall not exceed the total fees paid by you to Syndrix in the twelve (12) months preceding the claim

These limitations apply regardless of the legal theory upon which the claim is based, whether in contract, tort, strict liability, or otherwise.

10. Indemnification

You agree to indemnify, defend, and hold harmless Syndrix, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the Services in violation of these Terms
  • Your violation of any applicable law or regulation
  • Any User Content you upload, store, or transmit through our Services
  • Your infringement of any third-party rights

11. Termination

Either party may terminate the use of Services as follows:

  • By You: You may stop using our Services and close your account at any time by contacting us
  • By Us: We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or engage in conduct that we reasonably determine is harmful to our Services or other users

Upon termination, your right to access the Services ceases immediately. We will make commercially reasonable efforts to provide you with an opportunity to export your data before deletion, subject to any legal retention obligations.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines.

In the event of any dispute arising from or relating to these Terms, the parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved amicably within thirty (30) days, either party may submit the dispute to mediation or, if necessary, to the appropriate courts of Tacurong City, Sultan Kudarat, Philippines, which shall have exclusive jurisdiction.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the revised Terms on our website with an updated effective date. For active project partners and contract clients, we will provide reasonable advance notice of changes that materially affect your rights or obligations.

Your continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms.
